Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the ZifyWMS platform, including the web application, mobile applications, and any related services (collectively, the "Service") provided by ZifyWMS Ltd ("ZifyWMS", "we", "us", "our"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or organisation, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not access or use the Service. These Terms were last updated on 2 June 2026.

"Account" means a unique account created for you to access the Service. "Customer" means the business or individual that has entered into a subscription agreement with ZifyWMS. "User" means an individual authorised by the Customer to access and use the Service under the Customer's Account. "Subscription" means the right to access and use the Service for the subscription period, subject to these Terms and the applicable Order Form. "Order Form" means the document or online process through which a Customer subscribes to the Service, which specifies the plan, number of users, and applicable fees. "Platform" means ZifyWMS's proprietary software-as-a-service warehouse management platform. "Data" means all data and information submitted to the Platform by or on behalf of the Customer.

3.1 Subject to payment of applicable fees and compliance with these Terms, ZifyWMS grants you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription period. 3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify ZifyWMS immediately of any unauthorised use of your account. 3.3 You must not share account credentials between multiple individuals. Each User must have their own named login. Additional users may be added to your subscription at the applicable per-user rate. 3.4 ZifyWMS reserves the right to suspend or terminate your access to the Service if we reasonably believe that your account has been compromised or is being used in breach of these Terms. 3.5 You must be at least 18 years old to use the Service and must have the legal capacity to enter into binding contracts.

4.1 The Service is provided on a subscription basis. Subscription fees are charged annually in advance, as set out in the applicable Order Form. 4.2 All fees are quoted exclusive of VAT and any other applicable taxes, which will be added at the prevailing rate. 4.3 Invoices are issued at the commencement of each subscription period. Payment is due within 14 days of invoice date unless otherwise agreed in writing. 4.4 ZifyWMS reserves the right to suspend access to the Service if payment is not received within 30 days of the invoice due date. Access will be restored promptly upon receipt of payment. 4.5 Annual subscriptions may be upgraded at any time. Downgrade requests will take effect from the next renewal date. 4.6 ZifyWMS reserves the right to adjust subscription fees with 90 days' written notice prior to any renewal date. 4.7 All subscription fees paid are non-refundable, except where expressly stated otherwise or where required by applicable law.

5.1 ZifyWMS may offer a free trial period of 14 days from the date of account creation. During the trial period, you will have access to the Service on the Mobile + Web plan. 5.2 No payment details are required to commence a free trial. At the end of the trial period, you will be required to select a subscription plan and provide payment details to continue using the Service. 5.3 ZifyWMS reserves the right to modify or withdraw the free trial offer at any time. The trial period is limited to one per Customer and may not be used in conjunction with any other promotional offer. 5.4 Data created during the trial period will be retained for 30 days following the end of the trial if no subscription is entered into, after which it will be permanently deleted.

6.1 You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) Use the Service to process, store, or transmit any data that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable; (b) Attempt to gain unauthorised access to any part of the Service, its related systems, or the accounts of other customers; (c) Use the Service to transmit any malicious code, viruses, or other harmful software; (d) Reverse engineer, decompile, or disassemble any component of the Service, or attempt to derive the source code of the Platform; (e) Use the Service in any way that could damage, disable, or impair the Service or interfere with other customers' use of it; (f) Resell, sublicense, or otherwise make the Service available to third parties without ZifyWMS's prior written consent; (g) Use automated tools to extract data from the Service beyond what is permitted by the API terms. 6.2 ZifyWMS reserves the right to investigate any suspected breach of this section and to suspend or terminate access where a breach is confirmed.

7.1 As between ZifyWMS and the Customer, the Customer retains all ownership of its Data. ZifyWMS processes Customer Data solely as a data processor, in accordance with the Customer's instructions and ZifyWMS's Data Processing Agreement. 7.2 ZifyWMS will implement and maintain appropriate technical and organisational measures to protect Customer Data against unauthorised access, disclosure, alteration, or destruction. 7.3 ZifyWMS may use anonymised, aggregated data derived from Customer Data to improve the Service, develop new features, and generate industry benchmarks. No such data will identify individual customers or their data subjects. 7.4 Upon termination of the subscription, Customer Data will be retained for 90 days, during which the Customer may request an export. After 90 days, Customer Data will be permanently deleted from ZifyWMS's systems. 7.5 ZifyWMS's collection and use of personal data in connection with the Service is governed by our Privacy Policy, available at zifywms.io/privacy.

8.1 ZifyWMS retains all intellectual property rights in the Service, the Platform, and all related documentation, including all patents, trademarks, trade secrets, and other proprietary rights. 8.2 These Terms do not grant you any rights in the intellectual property of ZifyWMS beyond the limited right to access and use the Service as described herein. 8.3 Any feedback, suggestions, or ideas you provide to ZifyWMS regarding the Service may be used by ZifyWMS without restriction or compensation to you. 8.4 The ZifyWMS name, logo, and all related marks are trademarks of ZifyWMS Ltd. You may not use these marks without prior written consent.

9.1 ZifyWMS will use commercially reasonable efforts to ensure the Service is available 99.9% of the time in any given calendar month, excluding scheduled maintenance windows. 9.2 Scheduled maintenance will be carried out during off-peak hours (typically between 02:00 and 04:00 GMT) and will be notified at least 48 hours in advance via the in-app notification system. 9.3 ZifyWMS does not guarantee that the Service will be error-free or uninterrupted. Where significant service disruptions occur, ZifyWMS will communicate the nature of the disruption, its expected duration, and the steps being taken to resolve it via the Service status page and, for outages exceeding 2 hours, by direct email notification to account administrators. 9.4 Service credits may be available in accordance with ZifyWMS's Service Level Agreement for enterprise accounts where availability falls below the committed threshold.

10.1 To the fullest extent permitted by applicable law, ZifyWMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the Service. 10.2 ZifyWMS's total aggregate liability arising from or in connection with these Terms shall not exceed the total fees paid by you to ZifyWMS in the 12 months immediately preceding the event giving rise to the claim. 10.3 Nothing in these Terms limits or excludes ZifyWMS's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable law. 10.4 The Service is provided "as is" and "as available". ZifyWMS makes no warranties, express or implied, regarding the Service's fitness for a particular purpose, merchantability, or non-infringement.

11.1 Either party may terminate these Terms by providing written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of written notice. 11.2 ZifyWMS may suspend or terminate your access immediately if: (a) you fail to pay any amounts due; (b) you breach the Acceptable Use provisions; or (c) we are required to do so by applicable law. 11.3 Upon termination, your right to access the Service will cease immediately. The provisions of these Terms relating to intellectual property, limitation of liability, and governing law will survive termination. 11.4 Customers may cancel their subscription at any time. Cancellation will take effect at the end of the current subscription period. No refunds will be issued for the unused portion of a subscription period.

12.1 These Terms are governed by and construed in accordance with the laws of England and Wales. 12.2 Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that ZifyWMS may seek injunctive or other equitable relief in any court of competent jurisdiction. 12.3 For customers based outside the United Kingdom, we endeavour to operate in compliance with the laws and regulations of the jurisdictions in which we operate, including US state and federal laws as applicable. 12.4 If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.1 ZifyWMS reserves the right to modify these Terms at any time. We will notify customers of material changes by email to the account administrator address and via an in-app notification, with at least 30 days' notice before the changes take effect. 13.2 Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. 13.3 If you do not agree to the revised Terms, you may terminate your subscription in accordance with Section 11.
